OVERVIEW

The terms “we”, “us” and “our” refer to Cosmelio, a brand of STATU TRADE LLC. Cosmelio operates this store and website, including all related information, content, features, tools, products and services (the “Services”). Cosmelio is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (the “Terms”), together with policies referenced here (including our Privacy Policy, Shipping Policy, and Refund Policy), describe your rights and responsibilities when you use the Services.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

 

SECTION 1 – ACCESS AND ACCOUNT

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence and you consent to allow any of your minor dependents to use the Services on devices you own or manage.

You may be asked for information (email, billing/payment/shipping details). You warrant that information you provide is accurate, current, and complete and that you have the rights to provide it.

You are responsible for keeping your credentials secure and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person.

 

SECTION 2 – OUR PRODUCTS

We aim to present products clearly; colors/appearance may vary by device/settings. We do not warrant that any product’s appearance or quality will meet your expectations or exactly match on-screen depictions.

Descriptions and availability may change at any time; we may discontinue items or limit quantities by person, region, or jurisdiction.

No medical claims. We are a reseller (not a manufacturer). Information provided is not medical advice. Always follow the manufacturer’s directions and consider a patch test.

 

SECTION 3 – ORDERS

Your order is an offer to purchase. We may accept or decline any order in our discretion. Payment must be received/processed before acceptance. If we decline or cancel, we’ll try to notify you using your checkout contact details.

Purchases are subject to returns (we do not offer exchanges) under our Refund Policy.

Fraud & risk screening: If flagged as high-risk, we may request verification or cancel/refund if we can’t verify.

You represent purchases are for personal/household use, not for commercial resale or export.

 

SECTION 4 – PRICES AND BILLING

Prices, discounts, promotions may change without notice. The price charged is the price at the time of order and appears in your confirmation email. Unless stated otherwise, posted prices exclude taxes, shipping, and handling.

You agree to provide current, complete, and accurate purchase/payment/account information and to update it as needed. You represent that (i) payment details are true and complete, (ii) you’re authorized to use them, (iii) charges will be honored, and (iv) you will pay all charges at posted prices, including applicable taxes and shipping.

 

SECTION 5 – SHIPPING AND DELIVERY

We ship as described in our Shipping Policy (service areas, cut-off times, estimates, optional signature at no extra cost, tracking).

Delivery times are estimates (not guarantees). We aren’t responsible for carrier delays or events outside our control.

Risk of loss; unsubstantiated delivery exception: Once we transfer products to the carrier, title and risk pass to you; however, if the carrier cannot substantiate delivery to your address, we will refund or reship per our Refund Policy. If the carrier can substantiate delivery, the order is considered delivered.

Address corrections and undeliverable parcels follow our Shipping/Refund Policies (recall → cancel → refund; no extra charge).

SECTION 6 – INTELLECTUAL PROPERTY

The Services and all content therein are owned by Cosmelio, its affiliates or licensors and protected by law. These Terms permit personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works, publicly display/perform, republish, download, store, or transmit materials without prior written consent, except as allowed by law.

Cosmelio names/logos/slogans are trademarks of Cosmelio or its affiliates/licensors. Shopify’s marks belong to Shopify. Other names/logos are the property of their owners.

 

SECTION 7 – OPTIONAL TOOLS

We may provide access to third-party tools “as is” and “as available” without warranties. Your use is at your own risk and subject to third-party terms. New features may be offered and are subject to these Terms.

 

SECTION 8 – THIRD-PARTY LINKS

Third-party materials/links may appear. Accessing third-party sites/services is at your own risk. We are not responsible for third-party content or transactions. Review third-party terms/policies carefully.

 

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Our store is hosted by Shopify. Sales and purchases are made directly with Cosmelio (STATU TRADE LLC); Shopify is not a party to your transactions and is not responsible for our products or Services. Nothing in this Section limits any non-waivable consumer rights under applicable law.

 

SECTION 10 – PRIVACY POLICY

Personal information is handled per our Privacy Policy. Because the Services are hosted by Shopify, certain information about your access/use may be collected/processed by Shopify; see Shopify’s privacy policy. By using the Services, you acknowledge you’ve reviewed these policies.

 

SECTION 11 – FEEDBACK (REVIEWS, SUGGESTIONS)

If you submit ideas/reviews/suggestions (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback for any purpose. You represent you own/have rights to the Feedback and that it complies with law and these Terms. We may moderate/remove unlawful or objectionable Feedback. Don’t misrepresent your identity or provide misleading information. You are solely responsible for your Feedback.

 

SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS

Information (descriptions, pricing, promotions, shipping charges, transit times, availability) may contain errors. We may correct/update or cancel orders if information is inaccurate, at any time and without notice (including after submission). In obvious errors, we may cancel or adjust per these Terms.

 

SECTION 13 – PROHIBITED USES

Use the Services lawfully. You agree not to: violate laws; infringe IP; harass/abuse/defame; transmit false/misleading content; upload non-compliant content, malware or spam; impersonate others; scrape or exploit the Services; unlawfully collect personal data; or circumvent security measures. We may suspend/terminate access for violations.

 

SECTION 14 – TERMINATION

We may terminate these Terms or your access to the Services at any time in our discretion. You remain liable for amounts due up to and including the termination date. Provisions intended to survive shall continue to apply.

 

SECTION 15 – DISCLAIMER OF WARRANTIES

The Services and all products are provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted, timely, secure, or error-free use. Some jurisdictions do not allow certain disclaimers; to the extent prohibited, such disclaimers may not apply.

 

SECTION 16 – LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COSMELIO OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS/REVENUE/SAVINGS, DATA LOSS, OR REPLACEMENT COSTS), WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, ARISING FROM OR RELATED TO THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNTS YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT.

 

SECTION 17 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Cosmelio and its affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from losses/claims (including reasonable attorneys’ fees) arising from your breach of these Terms, violation of law or third-party rights, or misuse of the Services. We may control the defense and settlement; you agree to cooperate.

 

SECTION 18 – SEVERABILITY

If any provision is unlawful/void/unenforceable, it shall be enforced to the maximum extent permitted and severed without affecting the remainder.

 

SECTION 19 – WAIVER; ENTIRE AGREEMENT

Our failure to enforce any right is not a waiver. These Terms, together with site policies (Privacy, Shipping, Refund), constitute the entire agreement and supersede prior communications.

SECTION 20 – ASSIGNMENT

You may not assign these Terms without our prior written consent; any attempt is void. We may assign/delegate without notice.

 

SECTION 21 – GOVERNING LAW; DISPUTE RESOLUTION (ARBITRATION)

Governing Law. Kansas law governs, excluding conflict-of-law rules. The U.S. Federal Arbitration Act (FAA) governs the arbitration agreement below.

Arbitration (individual). Except for the Small Claims and Injunctive Relief exceptions, disputes shall be resolved by binding individual arbitration (e.g., AAA or JAMS rules). The arbitrator’s decision is final and binding.

Class/Jury Waiver. YOU AND COSMELIO WAIVE JURY TRIAL AND AGREE TO PROCEEDINGS ONLY ON AN INDIVIDUAL BASIS, to the extent permitted by applicable law.

Opt-Out. You may opt out within 30 days of first accepting these Terms (or first purchase, whichever earlier) by emailing support@cosmelio.com with subject “Arbitration Opt-Out,” including your name, billing address, and order number.

Small Claims. Either party may bring an individual action in small claims court in Bernalillo County, New Mexico.

Venue (non-arbitrable claims). For claims not subject to arbitration, venue lies in the state courts of Bernalillo County, New Mexico or the U.S. District Court for the District of New Mexico.

Injunctive Relief Carve-Out. Either party may seek temporary/preliminary injunctive relief in court to protect IP or prevent unauthorized access/abuse.

Fees & Location. Fees will be determined in accordance with the applicable rules; unless otherwise agreed by the parties, arbitration will be conducted by video/teleconference or in Bernalillo County, New Mexico.

Severability. If the class waiver is found unenforceable, the entire arbitration agreement will be unenforceable; otherwise, the remainder of the arbitration agreement will remain in effect.

Headings are for convenience only and do not limit these Terms.

 

SECTION 23 – CHANGES TO TERMS OF SERVICE

You can review the current version on this page. We may update/change/replace parts of these Terms by posting here. We will notify you of material changes as required by law; changes take effect on the date specified. Your continued use after effectiveness constitutes acceptance.

SECTION 25 – FORCE MAJEURE

We are not liable for delays or failures due to events beyond our reasonable control (acts of God, disasters, epidemics, war, terrorism, labor disputes, governmental actions, utility/internet outages, or carrier disruptions). Performance is excused during such events.

 

SECTION 26 – ELECTRONIC COMMUNICATIONS

You consent to receive communications electronically (e.g., order status, returns, policy updates). Electronic notices satisfy legal “in writing” requirements.
